Speaker Agreement Terms
By submitting your talk, you agree to the following conditions:
Participation: The Speaker has agreed to participate in the virtual summit/event by providing live and/or pre-recorded speeches.
Technical Quality: The Speaker is responsible for ensuring the technical quality of their presentation(s), including, but not limited to, sound and video quality for pre-recorded content.
Intellectual Property Rights: The Speaker hereby grants to Insightful Magazine, a division of 13679497 Canada Inc., a non-exclusive, worldwide, perpetual, and irrevocable right to use, reproduce, distribute, display, and broadcast the Speaker's presentation(s), including any materials, recordings, or documentation related to the presentation, in any media formats through any media channels.
Additional Rights: This grant includes the right to edit, modify, and create derivative works from the Speaker's presentation(s) or any related promotional activities without further compensation. Additionally, the Speaker agrees that the Organizer has the right to sublicense, share, or otherwise provide these rights to third parties involved in distributing the content or other related activities, without further consent from the Speaker but subject to the same terms as granted herein.
Promotional Use: The Speaker also grants the Organizer the right to use the Speaker's name, likeness, and biographical material for promotional purposes.
Compensation: The Speaker acknowledges that they shall not receive any monetary compensation for their participation in the Summit. The Speaker benefits from access to the audience of the Summit and any promotional exposure associated with the event.
Representations and Warranties: The Speaker represents and warrants that they have the full right and authority to enter into this Agreement and to grant the rights granted herein. The Speaker further represents and warrants that the content of their presentation(s) is original to them, does not infringe upon any third party’s rights, and is not defamatory, libelous, or otherwise unlawful.
Speaker Liability: The Speaker agrees to be solely responsible for the content of their presentations, actions, and interactions with the summit participants during the event. The Speaker agrees to indemnify, defend, and hold harmless the Organizer against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with the Speaker's participation in the Summit.
Organizer Immunity: It is expressly agreed that the Organizer shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, resulting from the conduct of any speaker or participant of the summit; the content, accuracy, or appropriateness of any presentation or speech provided by the speakers; or any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein.
Confidentiality Clause: Any sensitive information shared during the summit or in preparation for it shall be kept confidential by both parties, unless otherwise agreed upon in writing.
Technical Support and Requirements: Specific technical standards or support provided by the Organizer.
Performance Standards: Expected conduct and quality of the presentation explicitly stated to meet the summit’s professional standards.
Feedback and Evaluation: Post-event feedback processes or speaker evaluations that might be conducted.
Organizer Discretion: The Organizer can decide not to use the Speaker’s documents at their discretion. No notifications will be sent to the Speaker.
Dispute Resolution: Parties agree that any conflict will be resolved under arbitration or mediation, and the fees will be split equally between the parties.
Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec, without regard to its conflict of laws principles. Any disputes under this Agreement shall be resolved in a court of competent jurisdiction in the City of Quebec, Province of Quebec, Canada.
